Terms of Service

Welcome to Saige. These Terms of Service ("Terms") govern your access to and use of the Saige website, embeddable chat widget, dashboard, APIs, and related services (collectively, the "Service"), operated by Tropic Endeavors LLC, a Florida limited liability company doing business as SaigeWorxAI ("SaigeWorxAI", "we", "us", or "our"). By creating an account, embedding the widget on your website, or otherwise using the Service, you agree to be bound by these Terms.

1. The Service

Saige provides an AI-powered chat agent that wedding professionals ("Customers") can embed on their websites to answer visitor questions, capture leads, and provide automated 24/7 engagement. The Service uses third-party large language models (currently Anthropic Claude) to generate responses based on a knowledge base you configure.

2. Eligibility and Accounts

You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@saigeworxai.com if you become aware of any unauthorized use.

3. Subscription and Billing

The Service is offered on a monthly subscription basis. Pricing for each plan tier is published on our website and may be updated from time to time. By subscribing, you authorize us (through our payment processor, Stripe, Inc.) to charge your designated payment method on a recurring monthly basis until you cancel.

Subscriptions auto-renew at the end of each billing period. You may cancel at any time from your account dashboard or by contacting us; cancellation takes effect at the end of your current billing period. We do not provide refunds for partial billing periods except where required by applicable law.

Conversation limits apply per plan. If you exceed your monthly conversation limit, the chat widget will display a friendly message and stop accepting new sessions until your next billing cycle or you upgrade to a higher tier.

4. AI-Generated Content Disclaimer

Responses generated by the Service are produced by an artificial intelligence model based on the knowledge base you configure. While we work to ensure responses are accurate and useful, AI-generated content may occasionally contain errors, omissions, or inaccuracies. You are responsible for the accuracy of the information in your knowledge base and for monitoring the responses your chat agent provides to visitors.

You acknowledge and agree that we are not liable for any actions taken by you or any third party in reliance on AI-generated responses, including but not limited to incorrect pricing, availability, policies, or other business information.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation;
• Provide false, misleading, or deceptive information about your business or services;
• Collect or solicit personal information from minors, or otherwise target children under 13;
• Send spam, harassment, or unsolicited marketing communications through any channel enabled by the Service;
• Reverse engineer, decompile, or attempt to extract the source code of the Service or its underlying models;
• Embed the chat widget on any website that promotes hate speech, illegal activity, adult content, or other content prohibited by applicable law;
• Use the Service in a way that interferes with or disrupts our servers, networks, or other Customers' use of the Service.

We reserve the right to suspend or terminate accounts that violate these restrictions, with or without notice.

6. Customer Data and Ownership

You retain all rights to the content you upload to the Service, including your knowledge base entries, branding configuration, and any leads captured by the chat widget ("Customer Data"). You grant us a limited, non-exclusive license to process Customer Data solely as necessary to provide the Service.

We process visitor conversations and lead data on your behalf. Visitors who interact with your chat agent are your contacts; you are responsible for handling their personal information in compliance with applicable privacy laws (including but not limited to obtaining any required consents).

You may export your Customer Data at any time from the dashboard or by contacting us. Upon termination of your account, we will retain Customer Data for 30 days to allow recovery, after which it will be deleted from our active systems.

7. Intellectual Property

The Service, including all software, designs, logos, and documentation, is owned by Tropic Endeavors LLC and protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. Nothing in these Terms transfers any ownership rights to you.

8. Third-Party Services

The Service relies on third-party services to function, including but not limited to: Anthropic (large language model), Stripe (payment processing), SendGrid (transactional email), and our hosting providers. Your use of the Service is also subject to the terms and privacy policies of these third parties. We are not responsible for outages, errors, or data handling practices of these third parties beyond our control.

9. SMS Messaging Terms

By providing your phone number to a Customer using the Service or by initiating contact (including calling a business that uses Saige), you consent to receive SMS messages related to your inquiry, booking, or requested services.

These messages may include automated responses to missed calls and follow-up communications.

Message frequency may vary.

Message and data rates may apply.

You can opt out at any time by replying STOP. For assistance, reply HELP.

You agree that SaigeWorxAI and its Customers are not responsible for delayed or undelivered messages.

10. Termination

You may terminate your account at any time. We may suspend or terminate your access to the Service at any time, with or without notice, if you violate these Terms or for any other reason at our reasonable discretion. Upon termination, your right to use the Service immediately ceases.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL TROPIC ENDEAVORS LLC (D/B/A SAIGEWORXAI), ITS OFFICERS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless Tropic Endeavors LLC (d/b/a SaigeWorxAI) and its officers, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) the content of your knowledge base or any communications sent through the Service; or (d) your violation of any third-party rights.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Indian River County, Florida, and you consent to the personal jurisdiction of those courts.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Effective date" above and, for material changes, notify you by email or through the dashboard. Your continued use of the Service after the effective date of any updated Terms constitutes acceptance of those Terms.
